  • KG Law Firm conducted a sophisticated and comprehensive IP rights related Legal Due Diligence on behalf of a global growth equity platform with a strategic focus on the tech sector. The engagement arose in the context of an ultimately successful, landmark tender offer, launched for the acquisition of the entire free-float of a prominent IT and digital transformation services group listed on the Main Market of the Athens Exchange (ATHEX). The transaction demanded a rigorous examination of the target Group's full intellectual property portfolio, which encompassed a significant number of trademarks, domain names, and proprietary software applications, assets central to the commercial value and competitive positioning of the business. The completion of the successful tender offer and the exercise of a squeeze-out right resulted in the full delisting of the target company from ATHEX, marking the conclusion of a meticulously executed public-to-private transaction. This landmark deal stood out as one of the most significant transactions in the Greek capital markets in recent years, underscoring the sustained and growing interest of international investors in the Greek economy and, in particular, the dynamic IT services sector. It further demonstrated KG Law Firm's capability to deliver high-stakes, complex IP legal services in the context of major cross-border transactions.
